BIOTHERM ENERGY BACKGROUND

BioTherm Energy is a leading African Independent Power Producer, focused on wind and solar power generating assets.  The company builds, owns and operates large scale generation facilities. We continue to identify, develop and evaluate projects on an ongoing basis, building out a robust pipeline throughout the continent.

Our team comprises a number of industry experts in a variety of disciplines including finance, engineering, project finance, structured finance, project management and asset management. The current headcount within the Group is 40 employees and will continue to increase for the next three years.

In 2011, we were awarded three projects (two solar and one wind) by the Department of Energy under the South African Renewable Energy Independent Power Producer Program (REIPPP).  The construction of all three projects was successful and the projects reached Commercial Operations within budget and on time.  The two solar plants of 10MW each are located Northern Cape, while the 27MW wind project is located near Caledon in the Western Cape.

BioTherm Energy also developed and owns and operates a 4.2MW waste gas plant at PetroSA in Mosselbay that has been operating for a number of years.

BioTherm was appointed as a preferred bidder for four projects (283.5MW) in Round 4 of the South African Renewable Energy IPP programme. These include the 120MW Golden Valley Wind facility, 32.5MW Excelsior Wind Facility, 45MWp Aggeneys Solar PV and 86MWp Konkoonsies II Solar PV Facility.

In addition, to being appointed as preferred bidder for the wind and solar projects in South Africa, the company has expanded into the African continent where it has garnered some success. To date, it has secured two solar projects in Burkina Faso, one in Ghana, and has been pre-qualified in several other countries. BioTherm has also engaged in several greenfield activities and has made the continent a key focus area for its growth activities. In addition, the Company is also focusing on the private PPA market w, working with industrial and corporate off takers across the continent.


Community Liaison Officer (“CLO”) for the Aggeneys 40MW Solar Energy Facility

Overview of Responsibilities of the CLO:

  • Attend to all communities that fall within the Namakwa District Municipality as the project representative and act as the point of contact for day-today engagement and consultation with the local communities that fall within the Namakwa District Municipality;
  • Report to the Economic Development director (or any other person as advised by the director) and assist with Economic Development compliance and implementation;
  • Liaise and build strong and meaningful relationships with community members, local government representatives, local businesses and any other relevant stakeholders, associations and/ or service providers as required;
  • Administrate the project grievance mechanisms by receiving, recording and responding to all verbal and written complaints/ grievances;
  • Liaise with the BioTherm Energy management team, site managers and EPC Contractor management team (including the EPC Contractor appointed CLO);
  • Be willing to travel nationally as and when required;
  • Create, maintain and update community and enterprise development stakeholder and partner databases;
  • Identify key community risks and opportunities to be managed at a local level;
  • Receive and document community project proposals and assist in scoring and weighting such proposals;
  • Assist in the implementation of approved Economic Development projects in conjunction with the Economic Development team;
  • Assist in maintaining Economic Development project files and reports;
  • Organize, facilitate and engage in community meetings, group sessions and interviews with various stakeholders;
  • Maintain records of all stakeholder engagement sessions including conversations, meetings or briefings (specifically ensuring that minutes at all meetings are taken);
  • Assist in the preparation and distribution of written reports (including newsletters);
  • Provide timely feedback on the project and any issues raised to the relevant stakeholders; and
  • Assist and liaise with local community trustees on a monthly basis.

Qualifications & Experience:

Wind Construction Manager

Job Purpose:

The position of the Wind Construction Manager reports to the Project Director with its primary purpose to lead the Wind construction teams ensuring the timely completion of site related work associated with the project.

Qualification(s) and Experience

Relevant university degree or college diploma with a minimum of 5 years related work experience in the construction industry. Experience managing a power plant construction site is required, preferably a Wind Energy facility. Strong understanding of the relevant electrical, mechanical, building codes and OHSACT requirements for a construction site.

Excellent project management skills with a highly organized approach, written and oral communications and presentation skills. A valid driver’s license is essential.

Required language

  • Sound written and verbal communication skills in English are required; and
  • Ability to speak an African language would be an advantage.

Overview of Responsibilities:

  • Manage the development of the Wind Facilities from site establishment through to Final Completion, facilitate interface between the EPC Contractor and the Project Sponsor.
  • Review and manage adherence to leases, servitude agreements, applicable permits, EA’s, and other site specific documents and formulate implementation strategies
  • Contract management, including the management of the site based supervisory teams, monitoring of project progress, construction and erection activities, Quality Assurance, procurement and receipt of components, equipment and materials. Manage QC aspects of procured goods and tracking of its logistics.
  • Review and approve project risk assessments as part of ongoing project planning function. The Wind Construction Manager is responsible for developing a project risk profile that mirrors planned cash flows, as well as a risk management budget and schedule for mitigating such risks.
  • Monitoring of permitting issues, adherence to the Environmental Management Plan
  • Review grid documentation, manage Eskom interface with regards to self-build, grid connection and grid compliance testing

Solar Construction Manager

Project Finance Manager/Senior Associate

Job Purpose:

This role interacts closely with the Business Development team and Finance team to develop detailed financial models in order to evaluate and structure energy projects across various different African countries on an ongoing basis.  The candidate will also be responsible for the development and maintenance of a consolidated project pipeline model, giving insight into the valuation of the company under various scenarios.  The candidate will be working closely with BioTherm Energy’s US and UK based Private Equity investors in relation to these models.

In addition, the candidate will be involved in certain M&A activities specifically relating to the acquisition of projects, joint development partnerships and any corporate related activities. In this regard, the candidate will be involved in the negotiation of term sheets, MOU’s, and other associated commercial documentation.

The candidate will also be directly involved in the bidding strategy associated with bidding projects into competitive auction based programs across Africa and will work closely with the EPC, technical and economic development teams to optimize tariffs and overall returns.

The position is ideally suited for a hardworking, dynamic and experienced qualified Chartered Accountant and or Chartered Financial Analyst (CFA) with a proven track record of 3 – 5 years of financial modeling experience in a private equity, corporate finance or investment banking environment. A background in, or sound understanding of, Project Finance is essential. An exceptionally high level of attention to detail is required for this position.

Economic Development Associate

Job Purpose:

BioTherm Energy is looking for an energetic & self-motivated individual to join the Economic Development team as an associate, to assist in running the Economic Development activities of the REIPPP program & other renewable energy projects. This position requires the candidate to be prepared for a fair amount of multi-tasking & to be able to actively manage the roll-out of numerous socio-economic & enterprise development initiatives within rural communities across South Africa (& potentially the rest of Africa).

The candidate will be expected to engage extensively with co-workers, including senior management, as well as external stakeholders who will comprise the likes of community members, community workers, service providers, government officials and NGOs.

Report writing skills, attention to detail, excellent numeracy & excel skills, the ability to read & speak English and Afrikaans fluently (Xhosa is a bonus!) & the capacity to humbly & meaningfully engage with diverse community members are all key competencies for this role. Past community work experience (within the development space) is advantageous.

Responsibilities:

  • Prepare monthly, quarterly & annual reports & forecasts for the Department of Energy & assist, where required, to prepare similar information for board members, shareholders, financers;
  • Monitor external contractor & internal Economic Development compliance – be able to conduct in depths audits on preferential procurement & job creation information;

Human Resource Manager

Job Purpose:

The HR Manager role is responsible for providing efficient Human Resource support to the Company by implementing operational Human Resource initiatives and coordinating initiatives to ensure a motivated and focused workforce that functions effectively.

Responsibilities:

  • Recruitment and on-boarding of new employees based on evolving Company needs.

Wind Contracts Manager

Job Purpose:

As the Wind Contracts Manager you will be required to draft, negotiate and manage (throughout the construction and Operations and Maintenance (O&M) period) various contracts for multi-party renewable energy projects. The Wind Contracts Manager will draft Heads of Agreement, Term Sheets and key schedules for early stage EPC and O&M contractor selection. This will be followed by the drafting and negotiation of the EPC and O&M contracts and its schedules. The Wind Contracts Manager, with assistance with the construction management team, will manage the EPC contract from NTP through COD and to the expiry of the warranty period.  The Contracts Manager will, with assistance from the Contracts Administrators, manage all legal aspects of the O&M contract.

Overview:

EPC Contract

  • Prior to bid submission
  1. Draft the Heads of Agreement, Term Sheets and key schedules (or Heads of Terms), which will be based on BioTherm’s bespoke contract form, taking into account the project technology, country specific legislation and preferred contract model (EPC, EPCm, Split, Small Works, etc.). The Contracts Manager will have access to legal counsel to assist with the drafting of these documents.
  2. Negotiate and conclude the abovementioned contract with selected preferred contractors. During the negotiation process, the Contracts Manager will ensure that lender and sponsor requirements are met. Liaise with the project finance, engineering and environmental teams to ensure that financial, technical and environmental requirements are met.
  3. It may be a requirement of a particular bid to select a single contractor/supplier prior to bid submission. In this case, the Contracts Manager, with assistance from other disciplines, sponsor and lenders, select a preferred contractor based on a set of predetermined evaluation criteria.
  • Preferred bidder to Financial Close phase
    1. Using the abovementioned terms and conditions as the basis, draft the EPC contract (or any other form of contract as described above) and its schedules. Liaise with lenders, project sponsor, the project finance, engineering and environmental teams to ensure that financial, technical and environmental requirements are met. The Contracts Manager will have access to legal counsel to assist with the drafting of the contract.
    2. Negotiate and conclude the contract with the selected contractor. During the negotiation process, the Contracts Manager will ensure that lender and sponsor requirements are met. Liaise with the project finance, engineering and environmental teams to ensure that financial, technical and environmental requirements are met.
  • From Financial Close to the expiry of the contract
    1. The Contracts Manager, with assistance from the Construction Management Team and Contracts Administrators, manage all aspects of the contract terms and conditions. This includes the evaluation of contractor claims from a contractual perspective, drafting of legal notifications and warnings.
    2. The Contract Manager will liaise with the CEO of the Project Company, sponsor and lenders with respect to all contractual matters. Management of the contract will include (but not limited to) approval for contractor claims, certification of key milestones, liaison with the LTA, Independent Engineer, Owners Engineer, etc.

Operations and Maintenance contract

  • The Operations and Maintenance contract may follow a process similar to the process for the EPC contract above except, under certain circumstances, the Operations and Maintenance contract may be split between the main technology (generating units) and the Balance of Plant)

Requirements

Qualification(s)

Manager: Business Development
Overview

1. Provide leadership while ensuring the project development aspects are delivered according to time and budget, with strong focus on financial returns.

3. Manage communications between EPC contractors, operators, authorities, lenders, landowners etc.
4. Responsible for project budget, fatal flaw analysis, development to financial close.

Requirements

• MBA, Finance, Electrical, mechanical or Civil Engineering degree (or similar qualification combined with experience)
• Commercial experience is essential, ability to manage time effectively, strong project management skills.
• Must have strong interest or exposure to the African renewables industry preferably in wind or solar technology, and specifically in Greenfield development.
• Minimum 5-7 years work experience in either investment banking, strategy consulting and corporate business development in capital intensive industries (power generation industry for at least 2 years is preferable)
• Strong negotiation and communication skills, must be able to work effectively in a team based environment. 


Senior Associate: African Business Development
Overview

1. We are looking for Dynamic, well-spoken individuals with at least three to five years’ work experience and at least two years of experience specifically in the energy sector in Africa.
2. The applicant must have has experience in one or more of the following areas:
o Knowledge of PPA contracts, sovereign Guarantees and associated negotiation thereof
o Technical understanding of the development of power plants either in wind, solar, or small hydro.
o Experience in negotiation of EPC and O&M contracts or grid knowledge
o In-depth experience in land identification and environmental applications or bidding processes and
o Financial structuring of such projects with evidence of either working in securing equity or debt in a project.
3. Responsible for project co-ordination and working with other team members to identify project opportunities, and conduct fatal flaw analyses.

Requirements

• Must have strong interest or exposure to the African renewables industry or African power sector, preferably in wind or solar technology, and specifically in Greenfield development.
• Must be able to communicate (orally and written) in French and English. Tertiary education must include 1-2 years in French.

Wind Development Engineer
Overview of Responsibilities:

1. Site selection and development of suitable wind projects throughout Africa including permitting and licensing as required.
2. Assessment of grid connection options in the form of feasibility studies, applications, process, costs and technical compliance.
3. Preparation and review of contracts, technical documents, reports and drawings as part of project development and bid submission.
4. Assessment of HV and LV power systems including the specification and costing of plant, equipment and protection, industry regulations for design and operation
5. Assess costs and risks associated with the supply and installation of electrical systems for renewable energy projects
6. Perform computer simulation of wind generation system performance or energy production to optimize efficiency.
7. Create plans for Wind energy system development, monitoring, and evaluation activities.
8. Conduct site audits to collect environmental, topological, geotechnical, electrical, and related site information for use in the design Wind power systems
9. Develop design specifications and functional requirements for wind energy systems which will form part of the EPC and O&M contract terms and conditions.
10. EPC and O&M contract negotiation.
11. Manage a complete project or strategic plant areas during construction, acting on behalf of BioTherm, from Financial Close to Final Completion.

Minimum Requirements:

1. Electrical Engineering degree (or similar electromechanical qualification combined with experience). In addition, an MBA or commercial degree would be considered a plus.
2. Commercial experience is essential, ability to manage time effectively, strong project management skills.
3. Knowledge of the South African REIPPP Program is preferable.
4. Should have exposure to the renewables industry preferably in Wind energy generation and associated infrastructure technology.
5. Minimum 5  years work experience
6. Minimum of 2 years Wind project development experience (in recent years)

Manager: African Business Development
Overview

1. We are looking for dynamic, well-spoken individuals with at least seven years’ work experience and at least three years specifically in the energy sector in Africa.
2. The applicant must have expertise in one or more of the following areas:
o Knowledge of PPA contracts, sovereign Guarantees and associated negotiation thereof.
o Technical understanding of the development of power plants either in wind, solar, or small hydro.
o Experience in negotiation of EPC and O&M contracts or grid knowledge.
o In-depth experience in land identification and environmental applications or bidding processes and
o Financial structuring of such projects with evidence of either working in securing equity or debt in a project.
o Experience in negotiating with various governmental stakeholders involved in the project lifecycle
3. Provide leadership while ensuring the project development aspects are delivered according to time and budget, with strong focus on financial returns.
4. Responsible for project budget, fatal flaw analysis, development to financial close.

Analyst: African Business Development
Overview

1. We are looking for a dynamic, well-spoken individual with at least one to two years’ work experience with a strong interest in or having worked in the energy sector, ideally with a focus on Africa.
2. The applicant must have:
o Experience working and/or studying in a multicultural and multidisciplinary environment ;
o Strong interest for the African continent and ability to work in highly diverse settings ;
o Strong interest or exposure to the renewables industry or power sector in general, preferably in wind or solar technology.
3. The applicant will be working in coordination with other team members to identify new project opportunities, conduct fatal flaw analyses, join bid teams to assist with tender responses, provide support on project development activities, greenfield and towards financial close on projects already awarded to BioTherm and work with the business development team on day-to-day activities.

o Technical understanding of the development of power plants either in wind, solar, or small hydro ;
o In-depth experience in land identification and environmental applications or bidding processes ;
o Power-related contracts or commercial negotiations (preferred but not an absolute requirement) ;

Project Engineer

Job Purpose:

The Project Engineer position reports to the Technical Director (solar or wind) being a primary resource for electrical design reviews during, witnessing of electrical component factory acceptance tests, grid connection and commissioning and testing of electrical systems during construction of the company’s solar and wind energy facilities.

Minimum Requirement:

Qualification(s) and Experience

a) A BSc Degree in Electrical Engineering with minimum 3 years related work experience in power plant design, grid integration and commissioning.
b) Development and construction experience in power stations preferred, with solar PV and wind energy implementations being an additional plus.
c) Solid conceptual understanding of three phase power and power systems.
d) Strong understanding of the relevant electrical, mechanical, building codes and OHSACT requirements for a construction site is preferable.
e) Strong organizational skills, which can lead to the development of good project management skills.
f) Computer proficiency including full Microsoft suite.

Excellent project management skills with a highly organized approach, written and oral communications and presentation skills. A valid driver’s license is essential.

Required language

• Sound written and verbal communication skills in English are required; and
• Ability to speak an African language would be an advantage.

Overview of Responsibilities:

With respect to Project development:

a) Assist in developing project Request for Proposals to contractors for bidding purposes.
b) Assist in contract negotiating during development process.
c) Review of EPC technical documentation to be in accordance with BioTherm and applicable law and regulation requirements.

With respect to Project construction:

a) Liaise with Eskom in relation to project grid connection related issues prior to and during the project construction phase.
b) Review electrical designs submitted by the EPC contractors. This will include the electrical designs for the grid connection works submitted to Eskom.
c) Attend factory acceptance testing of electrical components to be used in the company’s solar and wind energy facilities.
d) Supervise the commissioning of the electrical works.
e) Witness the facility and grid connection testing to ensure compliance with the grid code.
f) Review of project design for grid code compliance including considerations for steady state, power factor, short circuit, transient analysis, grounding, protective device coordination, arc flash, SCADA interface design, and communication systems.
g) Assist the development team with land and environmental related issues with regards to the Eskom or Municipal Grid Connection.
h) Assist on-site EPC construction team and office EPC administration team with EPC related queries and problem solving.
i) Monitor construction progress and support resolution of field issues.


Contracts Administrator

Job Purpose:

The position of the Contract Administrator reports to the Construction Manager. As Contract Administrator, you will be responsible for the administration of all contracts related to the [TBD] Project. Ensure compliance with terms and conditions of all contracts, all regulations and orders in relation to the project.

The position is based at the project head office in Fourways. Visits to the sites on a regular basis will be required.

Minimum Requirement:

Qualification(s) and Experience

Relevant college diploma in Administration/Project Administration with a minimum of 5 years related work experience in managing EPC contracts.

Excellent management skills with a highly organized approach. Excellent written and oral communications and presentation skills. Fluency in English and valid driver’s license is essential.

Required language

• Sound written and verbal communication skills in English are required; and
• Ability to speak an African language would be an advantage.

Overview of Responsibilities:

As Contracts Administrator you will be required to administer various contracts for multi- party renewable energy projects. The Contracts Administrator must be able to monitor and process the required work scope, manage variations and work closely with the project planning function.

a) Maintain the BioTherm ERP system, Pronto, project management module as the primary contracts management financial system to allow for the management of invoicing, change order control, modifications and site instructions.
b) Maintain the BioTherm Contracts Management System, Contract Eagle, with respect to all project related contracts.
c) Up to final completion provide all the required information related to the construction budget reasonably requested by the Company from time to time, including the preparation, on a monthly basis of a written contract status report, based on the Construction Status Report provided by Construction Manager, detailing any activities or issues that have impacted the Project from a contract execution, employee, community, municipality, provincial or governmental perspective.
d) After final completion prepare and provide a summarized operating report, based on the Operations Status Report provided by Operator, which shall include a month and year-to-date numerical and narrative assessment of any activities or issues that have impacted the Facility from an employee, community, municipality, provincial or governmental perspective.
e) Administer and ensure compliance with contracts relating to the operations and maintenance of the Facility, including invoicing and reporting to all relative parties.
f) Maintain in its files records related to the Facility which accurately, fairly and in reasonable detail reflect all dealings and transactions in relation to the Facility.
g) Maintain registers and records of all the project related correspondence, notifications, documentation and any other project or contract related documentation.
h) Record keeping of project related meetings, drafting and issuing of minutes of such meetings.


Project Manager

Job Purpose:
The Project Manager reports to the Project Director with its primary purpose to lead the Solar construction teams ensuring the timely completion of site related work associated with the project.
Minimum Requirement:
Qualification(s) and Experience
- Relevant Engineering degree or college diploma. 
- Minimum of 5 years related work experience in the power construction industry with preference to   Solar PV or Wind Energy facility construction experience.
-  Strong understanding of the relevant electrical, mechanical, civil, building codes and OHSACT requirements for a construction site.
- Self-starter with excellent project management skills with a highly organised approach, written and oral communications and presentation skills.
- A valid driver’s license is essential.
- BEE candidate will be advantageous.
Required language
• Sound written and verbal communication skills in English are required; and
• Ability to speak an African language would be an advantage.
Overview of Responsibilities:
a) Manage the construction of the Solar Facilities from Notice to Proceed to Final Completion.
b) Facilitate the interfaces between the EPC Contractor, the Utility, the Buyer, the Technical Advisors, Environmental Consultants, Health and Safety Consultants and the Project Sponsor.
c) Manage the EPC Contract, Owners Engineer Contract, Lender Engineer Contracts Environmental Control Officers and Health and Safety Agent Contracts on behalf of the Project Sponsor.
d) Supervise the Construction Engineer, Grid Engineer and Contract Administrator under the administration activities for the Project Sponsor.
e) Ensure adherence to land lease agreements, servitude agreements, applicable permits, the Environmental Management Plan, OSHA and other site specific permits and licenses. 
f) Oversee the review and implementation of the Quality Assurance and Health and Safety Plans by the EPC contractor with the assistance of the Company Grid Engineer, Owners Engineer and Construction Engineer.
g)  Ensure that all required project risk assessments and method statements as part of an ongoing project planning function with the assistance of the Construction Engineer. 
h) Assisting the Construction Engineer with setting up of the commissioning and testing activities
